Launch of the Capital city increase Reserve for employees

Amundi launches a capital increase reserved for employees (under the name We To share Amundi). This capital increase was initially decided on February 8, 2022 under the conditions specified below.

This offer reflects Amundi desire to involve employees not only in the development of the company but also in the creation of economic value which makes it possible to reinforce the feeling of belonging of the employees belonging.

The impact of this offer on net earnings per share should be negligible. The maximum number of Amundi shares to be issued will be capped at 1,000,000 shares (ie less than 0.5% of the capital and voting rights of the Company).

The discount offered to employees will be 30%, as for the third previous capital increase reserved for employees.

Securities Free

The offer is a capital increase in cash reserved for employees, pre-retirees and retired employees of Amundi group companies, members of the UES Amundi Company Savings Plan (PEE) or the International Group Savings Plan (PEGI) d Amundi. The capital increase will be carried out pursuant to resolution 25 of the General Meeting of May 10, 2021, with cancellation of shareholders’ preferential subscription rights.

The capital increase will be capped at 1,000,000 shares with a nominal value of €2.50 each. The newly issued shares will be fully assimilated to the existing ordinary shares.

Amundi will request that the shares newly issued under the offer be admitted to trading on Euronext Paris as soon as possible after the completion of the capital increase, currently scheduled for July 26, 2022. These shares will be listed on the same line than the existing shares, under the ISIN code FR0004125920.

Terms of the 2022 offer

We share Amundi is made available to employees in France and to Amundi Group entities in the following countries: Austria, Czech Republic, Germany, Hong Kong, Ireland, Italy, Japan, Luxembourg, Malaysia, Singapore, Spain, Taiwan, United Kingdom and United States.

Employees of companies that are members of the PEE or PEGI, with at least three months of employment, consecutive or not, between January 1, 2021 and the last day of the subscription period, as well as retired employees in France who have kept a assets in the PEE, are eligible for the 2022 offer.

The subscription the price is Position at 36.39 euros. This subscription price is the average of the opening prices of the share over the 20 trading sessions between May 23 and June 17, 2022 (inclusive), less a 30% discount.

Eligible employees can subscribe to the offer between 20 june 2022 and 28 june 2022 included. The shares can be subscribed via the FCPE AMUNDI ACTIONNARIAT RELAIS 2022 or the FCPE AMUNDI SHARES RELAIS 2022, with the exception of certain countries where the shares will be subscribed directly. At the end of the capital increase, and after decisions of the Supervisory Boards of the funds and visa of the Autorité des Marchés Financiers (AMF), the FCPE AMUNDI ACTIONNARIAT RELAIS 2022 will be merged into the FCPE AMUNDI ACTIONNARIAT, and the FCPE AMUNDI SHARES RELAIS 2022 will be absorbed by the FCPE AMUNDI ACTIONS.

The voting rights attached to the shares held via the Funds will be exercised by the Supervisory Board of the Fund. Voting rights attached to shares held directly will be exercised by subscribers.

The shares subscribed within the framework We To share Amundi will be subject to an unavailability period of five years, except in the event of early exit as described in the PEE or PEGI regulations. Early release events will be adjusted as appropriate for certain countries.

An employee can invest up to a maximum of €40,000. This ceiling of €40,000 applies to all Crédit Agricole Group employee shareholding operations in which Amundi employees could participate in 2022. Employees will be able to finance their subscription by paying voluntary contributions to the plans, in the limit of the annual ceiling for investment in employee savings plans. set at 25% of their gross annual compensation. Members of the UES Amundi PEE also have the right to use their assets held in another specific fund of the PEE.

If subscription requests exceed the maximum number of shares available under the offering, smaller subscriptions will be fully honored while larger subscriptions will be subject to successive caps until all available shares are subscribed. In France, any subscription ceilings will apply first to subscription tranches financed by voluntary contributions, then to subscriptions financed by the transfer of available assets held in another specific fund of the PEE and finally to subscriptions financed by the transfer of unavailable assets. assets held in another specific PEE fund.
