Capital increase on social funds and issue of free shares

Ahrensburg, July 18e2022 – On May 23, 2022, the annual general meeting of Basler AG decided to increase the share capital of 10,500,000.00 euros from 21,000,000.00 euros to 31,500,000.00 euros in accordance with the regulation on capital increases capital by social funds (§§ 207 ff. German law on joint-stock companies) . The capital increase will be carried out by converting an amount of EUR 21,000,000.00 of the capital reserve included in the approved annual financial statements of the company as of December 31, 2021 into share capital. The capital increase will be carried out by issuing 21,000,000 new bearer shares without nominal value at a price of 1.00 euro per share. The shares have the right to participate in the profits from January 1, 2022. The decision on the capital increase from company funds was based on the annual accounts of Basler AG as of December 31, 2021, as approved by the supervisory board. These audited and approved financial statements have been issued with an unqualified audit opinion by the company’s auditor, BDO AG Wirtschaftsprüfungsgesellschaft, Lübeck. With the agreement of the Supervisory Board, the Management Board was authorized to set the terms for carrying out the capital increase.

The corresponding amendment to the articles of association was entered in the commercial register of the company at the district court of Lübeck on July 5, 2022 and thus entered into force. The company’s share capital now amounts to 31,500,000.00 euros and is divided into 31,500,000 bearer shares without nominal value.

The record date for the allocation of the new shares resulting from the capital increase (“free shares”) is July 20, 2022. The shareholders of our company are entitled to free shares in a ratio of 1:2 on the basis of their holdings in ISIN DE0005102008 on July 20, 2022, the evening of the closing of the stock market, i.e. for each share already held, the shareholder will receive two additional free shares. Since all shares of Basler AG are held collectively, shareholders do not have to take any action with regard to the allocation of free shares. The free shares will be credited to the beneficiaries on the basis of their holding of old shares on July 20, 2022 after the closing of the stock market by means of a credit in the securities account.

The free shares will receive the same ISIN as the old shares (ISIN DE0005102008). They are securitized in a new global certificate deposited with Clearstream Banking AG, Frankfurt am Main. The right of shareholders to the securitization of their shares as well as any profit shares is excluded in accordance with the articles of association.

The shares of Basler AG will be listed “ex free shares” from July 19, 2022.

The delivery date for free shares admitted to the regulated market (Prime Standard) of the Frankfurt Stock Exchange is July 21, 2022.
