Cologne, June 28, 2022 – 123fahrschule SE (ISIN: DE000A2P4HL9; TickerSymbol: 123F; Open Market Börse Düsseldorf), one of Germany’s leading IT-based driving school chains, held its annual general meeting yesterday in the form of a virtual event without the physical presence of its shareholders.

The agenda included the resolution of a capital increase against contributions in cash up to EUR 800,000 with subscription rights for its shareholders. The implementation of the capital increase is currently being assessed as to its nature and scale in the current market environment. Quirin Privatbank AG was tasked with approaching potential investors. The Company will only make a final decision regarding financing options based on investor feedback and the prevailing market environment. With a successful implementation of the capital increase, the 123fahrschule would have the necessary funds to advance the company’s successful expansion strategy and mergers and acquisitions activities in attractive locations. At the same time, the Annual General Meeting approved a new 2022 Authorized Capital and an authorization to issue convertible bonds and bonds with warrants giving the company the flexibility it needs to continue its growth.

Finally, the Supervisory Board was enlarged to four members and Dr. Heinrich Zetlmayer was elected fourth member of the Supervisory Board. Mr. Zetlmayer is Managing Director of Skaylink GmbH in Munich and former Vice President of IBM, residing in Rüschlikon, Switzerland.

As co-CEO and member of the board of directors, Dr. Heinrich Zetlmayer played a key role in the development of ESL Gaming GmbH. Chairman of the supervisory board, Mr. Stefan Petter, welcomed the new member of the supervisory board: “We are very pleased to have Dr. Heinrich Zetlmayer as director with proven expertise in purchasing strategies. and building and scaling businesses.”
